Terms of Service

Important notice: Verdele is an educational tool designed exclusively for healthcare students. It is not a licensed medical device, clinical decision support system, or substitute for professional clinical judgment. Nothing on this platform constitutes medical advice, diagnosis, or treatment.

1. Acceptance of Terms

By creating an account or using the Verdele platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Verdele ("Company," "we," "us," or "our").

We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will notify registered users of material changes via email or an in-app notice.

2. Eligibility

You must be at least 18 years of age and currently enrolled in or affiliated with an accredited healthcare education program (including but not limited to medicine, pharmacy, nursing, dentistry, or physician assistant studies) to use the Service. By registering, you represent and warrant that you meet these eligibility requirements.

Verdele is intended solely for personal, non-commercial educational use. Use of the Service for clinical patient care, professional practice, or any commercial purpose is strictly prohibited.

3. Educational Use Only — No Medical Advice

The content generated by Verdele, including AI-generated responses, flashcards, quiz questions, clinical tool outputs, and study summaries, is provided exclusively for educational and study purposes. This content is not reviewed or approved by licensed healthcare professionals and should not be relied upon for clinical decision-making, patient diagnosis, treatment planning, or any form of professional practice.

AI-generated content may contain errors, omissions, or outdated information. You are solely responsible for verifying all information against authoritative clinical references, your course materials, and qualified healthcare professionals before applying any knowledge in a clinical or professional context.

Verdele expressly disclaims all liability for any harm, loss, or damage arising from reliance on content generated by the Service.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

You may not share your account with others, create accounts on behalf of third parties, or use automated means to create accounts. We reserve the right to suspend or terminate accounts that violate these Terms.

5. User Content and Uploaded Materials

You may upload study materials, documents, notes, audio recordings, and other content ("User Content") to the Service. You retain ownership of your User Content. By uploading, you grant Verdele a limited, non-exclusive, royalty-free license to store, process, and use your User Content solely to provide the Service to you.

You represent and warrant that your User Content does not contain any protected health information (PHI) as defined by HIPAA, personally identifiable patient data, or any content that violates applicable law or the intellectual property rights of third parties. You must not upload real patient records, clinical notes containing patient identifiers, or any other PHI under any circumstances.

We do not use your User Content to train AI models or share it with third parties except as necessary to provide the Service (e.g., cloud storage providers).

6. Intellectual Property

The Verdele platform, including its design, software, branding, and AI-generated outputs (excluding your User Content), is owned by or licensed to Verdele and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

AI-generated content produced in response to your prompts is provided to you for personal educational use only. You may not republish, sell, or distribute AI-generated content as your own original work.

7. Prohibited Conduct

You agree not to use the Service to:

  • Upload or process real patient health information or PHI
  • Engage in academic dishonesty, including submitting AI-generated content as your own work in violation of your institution's academic integrity policies
  • Attempt to reverse-engineer, scrape, or extract the underlying AI models or proprietary algorithms
  • Use the Service for any commercial, clinical, or professional practice purpose
  • Harass, impersonate, or harm other users
  • Violate any applicable local, state, national, or international law

8. Subscription and Billing

Verdele may offer free and paid subscription tiers. Paid features (such as Expert mode) are billed on a subscription basis. All fees are stated in US dollars and are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to change pricing with 30 days' notice to active subscribers.

Free tier features may be modified or discontinued at any time. Downgrading from a paid plan does not entitle you to a refund for the current billing period.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

TO THE FULLEST EXTENT PERMITTED BY LAW, VERDELE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Verdele and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Verdele.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 3, 6, 9, 10, and 11) shall survive.

You may delete your account at any time through the Settings panel. Upon account deletion, your User Content will be removed from our active systems within 30 days, subject to our data retention obligations.
